In September 2022, ONE Amazon and the Shuar Federation in Ecuador signed a deeply inequitable Agreement. In February 2023, the Shuar Federation held an assembly and agreed to cancel the Agreement
REDD-Monitor recently obtained a copy of an Agreement between a US-based company called ONE Amazon and the Interprovincial Federation of Shuar Centers (FICSH). The Agreement raises a series of questions and is heavily biased in favour of the interests of the company involved – ONE Amazon – and against the interests of the Shuar Indigenous People and the Shuar Federation.

In mid-February Silvia Ribeiro of the ETC Group summarised the implications of this Agreement in an article for the website desInformémonos. Ribeiro describes ONE Amazon’s Agreement as “a new form of biopiracy, by using the life and territory of the Shuar to fragment it, interpret it, transform it into merchandise and sell it”.
Ribeiro notes that the Shuar Federation held an Assembly in early February 2023 during which the Federation decided to cancel the contract with ONE Amazon.
The project outlined in the Agreement is supposed to protect the forest on the Shuar’s territory and will generate something called Valores. These Valores are to be sold on a market which, according to the Agreement, does not yet exist. The company does not have regulatory approval from the U.S. Securities and Exchange Commission to trade these Valores – and may never receive such approval.
Exactly what these Valores are is far from clear from the Agreement. REDD-Monitor has sent a series of questions to ONE Amazon and will post the company’s response in full and unedited as soon as it arrives.
The Agreement between ONE Amazon and the Shuar Federation is deeply inequitable and if implemented would result in a panopticon-level of surveillance over the Shuar’s territory.
The buyers of the Valores would be given the possibility of “observing by satellite a specific hectare or hectares of the Amazon rainforest”. The Agreement states that ONE Amazon will,
Share with the Shuar Federation the digital, satellite, documentary, video and audio information collected in the development of the object of this Agreement.
ONE Amazon, then, intends to decide which information it will share with the Shuar Federation, rather than the other way round, despite the fact that this is information collected from the Shuar’s territory. Under the Agreement, the information generated from the Shuar’s territory would end up in the hands of ONE Amazon.
The Agreement states that,
In order to carry out conservation activities in the Amazon rainforest, ONE AMAZON may rely on or use national or international private companies or institutions that know or can develop preservation and environmental protection activities in the Amazon rainforest area.
Under this clause, the Shuar Federation apparently handed over to ONE Amazon the ability to appoint any company to work on the project in Shuar territory, without the free, prior and informed consent of the Shuar.
Another clause would allow ONE Amazon to sell Valores to any company, no matter how destructive the company is, or how bad its record on human rights, or labour rights is, or whether the company is simply using the Valores to greenwash its polluting operations. The Shuar Federation would have no say in this, according to the Agreement.
An extraordinary level of surveillance
The Agreement states that the Shuar Federation will,
Study the possibility and feasibility, and then allow the installation of sensors, radars or other equipment in the field for the development of the monitoring that ONE AMAZON will carry out after the sale of the Valores.
This suggests an extraordinary level of surveillance of the Shuar’s territory. And it is up to the Shuar to carry out feasibility studies to install this surveillance equipment in their forests.
The Agreement “commits and obliges” the president of the Shuar Federaton, “on behalf and in representation of the Federation”,
to facilitate the constant monitoring by ONE Amazon in the review of the use of the resources received by the Federation and the progress achieved in the communities. This process will be implemented in a way that benefits and encourages relevant practices in the use of the funds received.
This is supposed to “reflect total transparency”, according to the Agreement, but the transparency is one way. The Shuar Federation has no rights to monitor how ONE Amazon uses the money raised from the project.
Meanwhile, ONE Amazon has applied for a trademark for “I.O.F. Internet of Forests”. According to the trademark application this is intended to cover the following:
software as a service; electronic data storage; database development; data analysis and processing; information / data processing; research on agroforestry and agroecological systems; research activities, including the use of apparatus and instruments for activities related to the operation of monitoring and measuring forestry and lands; scanning; advice and consultancy in carrying out tests and measurements for quality control; measurement and verification of carbon dioxide emissions and other greenhouse gases; aero photogrammetry; photogrammetry; land surveying; topographic surveys; geological surveys; environmental control of air and noise pollution; research in the field of environmental protection; geological research; biological research; providing scientific information, advice and consultancy relating to carbon offsetting; development of technical projects on agroforestry and agroecological systems.
ONE Amazon can terminate the Agreement. The Shuar apparently cannot
The Agreement states that,
However, the Parties declare that this Agreement may be terminated before the agreed term, in case ONE AMAZON so decides if it is proven that the Shuar Federation has not complied with its obligations acquired under this Agreement, particularly that of not respecting the maintenance of the Amazonian forests owned by the communities that are part of the Federation, for which it shall notify the Shuar Federation at least 30 days prior to the date on which it decides to terminate it.
ONE Amazon can easily terminate the Agreement. But there is no clause allowing the Shuar Federation to do so. ONE Amazon could even terminate the Agreement immediately after the sale of a large number of Valores, before having shared 15% of the money with the Shuar Federation.
Yes, you read that correctly. Under the Agreement, the Shuar Federation would receive only 15% of the money raised from sales of the Valores. The rest of the money would be shared between ONE Amazon and a company called ONE Amazon Impact Fund O.A.I.F. USA LLC. The Shuar would receive 50% of its share of the money within 30 days. The rest would be paid annually over the 30 year period of the project.
ONE Amazon is a startup company. Its only funder is a venture capital company called Starlight Ventures Management LLC, registered in the tax haven of Delaware in 2017. There is no guarantee that ONE Amazon would ever be able to sell its Valores. Nine out of ten startups fail, according to Fortune magazine and the main reason for failure is that startups cannot sell their product.
But this Agreement represented a serious danger for the Shuar, before the decision to cancel the contract. High expectations of future income from ONE Amazon could have resulted in some Shuar communities taking out debts. If ONE Amazon subsequently failed to generate income for the Shuar, it could have made Shuar communities more vulnerable to doing deals with oil, mining, or logging companies.
The Agreement

PARTNERSHIP AGREEMENT BETWEEN ONE AMAZON, USA Inc. AND THE INTERPROVINCIAL FEDERATION OF SHUAR CENTERS (FICSH)
FIRST: Participants.
Appearing to enter into this PARTNERSHIP AGREEMENT (hereinafter, the “Agreement”), on the one hand, Rodrigo Veloso, identified with North American passport No. XXXX, and Ivano Westin, with Brazilian passport No. XXXX, acting in the name and legal representation of One Amazon USA Inc, (hereinafter “ONE AMAZON”) in their capacities as Chief Executive Officer and Chief Financial Officer, respectively; and on the other hand, Mr. Anank Luis Senkuan Chuji, in his capacity as President of the Interprovincial Federation of Shuar Centers (“FICSH”) and as such legal representative of said Federation (hereinafter “the Shuar Federation”) with Ecuadorian citizenship card No. XXXX. Mr. SanKuan Chuji was duly elected President by the Federation through an Extraordinary General Assembly on June 15, 2022, as stated in the attached certification issued by the Secretary of Management and Development of Peoples and Nationalities (“the Director”) as described in the Minutes of the Extraordinary Assembly held on June 15, 2022, until the end of the period, which was legally registered in the Directive, for the period from January 05, 2020 to January 04, 2023, issued through the official letter No. SDH-CAJ-2020-0554-0, by the Secretary of Human Rights of Ecuador.
Mr. Senkuan Chuji appears duly authorized by the Assembly of the Federation that took place in the town of Sucúa, on September 2, 2022, as it appears in the attached document, as Annex 1.
The parties appearing are American the first, Brazilian the second and Ecuadorian the third, of legal age and legally capable, who within the present Agreement may also be identified as the “Party” or the “Parties”.
SECOND: Background. –
1.- ONE AMAZON is a private company of American nationality interested in supporting the development of activities and functions of protection and conservation of the environment. In development of the above, ONE AMAZON wants to (i) support the Shuar Federation in its work of protection and preservation of the environment through the provision of information and satellite images and other technologies on behalf of the Amazon region, as well as (ii) help such preservation and protection through investment in Ecuador, through national or international companies or institutes, of part of the resources obtained as a result of the sale of digital asset that it expects to place in the market, which will offer its purchasers the possibility of protecting and observing by satellite a specific hectare or hectares of the Amazon rainforest, as explained later in this document.
2. The Shuar Federation is duly recognized by the Ministry of Social Welfare and Labor, through the resolution of [Ministerial Agreement 2568, dated October 22, 1964], current Secretary of Management and Development of Peoples and Nationalities, and therefore has the respective legal personality.
3.- Pursuant to the provisions of articles 57.4 and 57. 9 of the Ecuadorian Constitution and article 5, paragraphs 3 and 4 of the Statute of the Shuar Federation, the Shuar Federation is the owner (for being considered ancestral lands) of the Territories that appear in Annex 2 of this Agreement and therefore has full disposition of its use and enjoyment and that the conservation program subject of this Agreement, does not constitute an appropriation of an environmental service, but a collaboration mechanism for the conservation and protection of its forests and territories and to achieve the benefit and welfare of the communities (Shuar centers) that are part of the Federation.
4.- On September 2, [September], 2022, in the Federation’s auditorium, the representatives, presidents of the Associations, Trustees and members, in the Extraordinary General Assembly, after the Governing Council of the FICSH and ONE AMAZON, finalized the socialization, those present authorized the subscription of this Agreement, in the terms set forth in this document, as it appears in the document attached as Annex 3.
With these antecedents, ONE AMAZON and the Shuar Federation subscribe the present Association Agreement with the purpose of developing activities that have the objective of improving and promoting the care, protection, conservation, defense of the Amazon rainforest and investment in sustainable enterprises.
THIRD: Object. –
The purpose of this Agreement is to join efforts and develop activities related to the protection, defense and conservation of the environment of the Amazon rainforest in the territories of the different Communities (Shuar centers) that make up the Interprovincial Federation of Shuar Centers FICSH, in Ecuador (hereinafter “the Territories”), as well as to achieve investment in sustainable enterprises in that territory.
Additionally, the Parties voluntarily make the following declarations:
1.- That they are civilly capable to bind themselves in the form in which they do so through this instrument and that they are not aware of any cause that may cause the nullity of this Agreement, related to their capacity, consent, or to the object or cause of this Agreement.
2.- Mr. Anank Luis Senkuan Chuji declares that, in his capacity as President, he is the legitimate representative of the Interprovincial Federation of Shuar Centers FICSH, which includes 47 associations and 410 Shuar centers that are part of the Shuar Federation and that, therefore, he guarantees his representation on behalf of said Federation.
3.- The Parties declare that this Agreement has been signed in accordance with the Ecuadorian law, with full freedom by each one of them, and if any clause or disposition or declaration could be considered or declared null, this nullity will not affect the rest of clauses contained in this Agreement.
FOURTH: Commitments of ONE AMAZON:
In order to fulfill the purpose of this Agreement, ONE AMAZON will:
i. Will make its best efforts to implement a system to collect satellite images and other technologies on the Amazon rainforest, which will allow it to have information on the state of environmental preservation of the same and provide it to the Shuar Federation.
ii. Will make its best efforts to create the appropriate mechanisms to report to the corresponding and competent authorities actions of third parties that endanger the Amazon rainforest, of which it has knowledge in the development of the execution of the above obligation.
iii. Share with the Shuar Federation the digital, satellite, documentary, video and audio information collected in the development of the object of this Agreement.
iv. For the fulfillment of its obligation, ONE AMAZON may make an international issuance of digital asset securities commonly called “tokens” or “Digital Security Assets” (hereinafter, “the Valores“) to finance the efforts of preservation of the Amazon rainforest. This issuance and the sale of the Valores will be subject to prior approval under applicable U.S. law and will make use of blockchain (distributed autonomous accounting technology) with which ONE AMAZON expects to be considered as a digital security asset duly authorized by the U.S. Securities and Exchange Commission (hereinafter “the Project”).
v. Only once the Project is duly approved by the U.S. authorities and goes to market, ONE Amazon will be able to issue the Valores for trading in the international market.
vi. Of the total Valores issued and traded through the primary digital asset offering (and subsequent offerings), related to the lands of the Shuar Federation, the allocation will be as follows: The Federation: 15%, ONE AMAZON 15%; the balance, that is, the remaining 70%, will be used in preservation investments, forest conservation in the Territories of the Shuar Federation or in other activities in its Territories that will benefit the Shuar Federation, funds that will be managed by ONE Amazon Impact Fund O.A.I.F. USA LLC, (“O.A.I.F.”) in projects primarily dedicated to reforestation programs, monitoring of the Federation’s territories and the support of sustainable development programs in the Amazon, through national or foreign private companies, supervised by O.A.I.F.
The values corresponding to the 70% mentioned above, will be collected by ONE Amazon and delivered to the O.A.I.F. bank account.
In turn, the values corresponding to 15% corresponding to the Shuar Federation mentioned above, will be collected by ONE AMAZON and contributed to the bank account of the Interprovincial Federation of Shuar Centers FICSH in the following way: a) 50% of this 15% within thirty business days after the sale of the Securities. b) The remaining 50% in equal annual installments during the next 30 years of this Agreement. The obligation to invest in environmental preservation and protection through private institutions (including satellite observation) will occur only after all authorizations have been obtained from the U.S. authorities for the issuance and sale of the Valores and from the Ecuadorian authorities (if any) for satellite monitoring and control.
In order to carry out conservation activities in the Amazon rainforest, ONE AMAZON may rely on or use national or international private companies or institutions that know or can develop preservation and environmental protection activities in the Amazon rainforest area.
viii. It will report annually to the Shuar Federation, on the state of accounts of issuance of digital asset values and on the corresponding income.
The investments for the protection of the environment, through private companies or institutions dedicated to sustainable activities of the environment, using the resources obtained from the sale of the issued Valores corresponding to the Territories, will be made through Ecuadorian or international companies or institutions with incidence in the Ecuadorian territory, specifically in the Territories.
The investment decisions for the protection of the environment will be made through the final approval of ONE AMAZON, always respecting Ecuadorian and U.S. legislation.
FIFTH: No affect on the property rights over the Territories:.
ONE AMAZON expressly declares that the implementation and sale of the Valores in no way affects the property or any of the rights over their Territories recognized by the Constitution and the law to the communities and inhabitants that are part of the Shuar Federation over their Territories, who maintain intact each and every one of these rights.
It is clarified and ratified that the Valores will be issued with the exclusive purpose of being marketed to third parties interested in the conservation of the Amazon rainforest so that, with their economic contributions, the owners of these lands can benefit directly with the income from such investment projects and maintenance of the Amazon forest.
Additionally, ONE AMAZON accepts and declares expressly that the lands of the Shuar Federation that become part of the Agreement, can be committed to third parties for any other conservation purpose, without any limitation, as long as they comply with the provisions of Ecuadorian and international legislation, since this Agreement does not represent any transfer of rights of the Federation on the Territory.
SIXTH- Commitments of the Shuar Federation:
For the fulfillment of the objective of this Association Agreement, the Shuar Federation shall carry out the following activities:
i. Support and facilitate the development of conservation and preservation activities carried out by NGOs or private companies, and investment in sustainable private companies, with the resources that can be invested by ONE AMAZON or O.A.I.F.
ii. Study the possibility and feasibility, and then allow the installation of sensors, radars or other equipment in the field for the development of the monitoring that ONE AMAZON will carry out after the sale of the Valores.
iii. Coordinate the institutional mechanisms to receive the reports and information provided by ONE AMAZON in the development of the sale of the Valores.
iv. To allocate for the project the 831,130.71 (eight hundred and thirty one thousand one hundred and thirty, 71) hectares of the territories belonging to the different communities that make up the Shuar Federation. These territories include all the areas occupied by the Shuar Federation and other Shuar communities, with the exception of those territories where governmental permits or authorizations have been granted for extractive activities of hydrocarbon exploration and exploitation, mineral exploration and exploitation in general, and extractive forestry industry activities.
Additionally, all populated areas or any urban area located within the Territories are not included within the Territories under this Agreement.
v. Maintain the current state of conservation of the Amazonian forest within the territories belonging to the communities that are part of the Federation, at least for the duration of this Agreement, which is 30 years from its signature.
vi. It will not use the resources obtained from this Agreement to destine them to any political or religious activity, and must be used exclusively for the maintenance of the Amazonian forest or works or services in favor of the Communities that are part of the Shuar Federation.
vii. In order to reflect total transparency, responsibility and efficient distribution of the percentage to which the Federation is entitled (together with the payment made at the signing of this Agreement, the President, on behalf and in representation of the Federation, commits and obliges to facilitate the constant monitoring by ONE Amazon in the review of the use of the resources received by the Federation and the progress achieved in the communities. This process will be implemented in a way that benefits and encourages relevant practices in the use of the funds received.
SEVENTH – Common Commitments:
For the execution of this Partnership Agreement, the Parties agree that:
(i) They will share information that facilitates the monitoring and management of the environmental protection that is intended to be achieved with the activities to be executed by ONE AMAZON with the issuance of the Valores.
(ii) Mutually support each other in the activities required for the development of the purpose of this Agreement.
(iii) Likewise, the Parties declare to comply with the Integral Criminal Code of Ecuador and by virtue of this, the consideration that the Shuar Federation will receive as a result of this Agreement, will not be offered, delivered or received, directly or indirectly, for the personal benefit of Mr. Anank Luis Senkuan Chuji or any member of the Shuar Federation, to incur in any action in violation or breach of Ecuadorian legislation on anti-corruption, which may be applicable.
(iv) The Parties understand and accept that there is no established date or term for the issuance of the Valores, nor guarantee of their issuance, given that this is an innovative product in the international market, which the Parties are aware of and expressly accept.
The Parties are aware and accept that, for the time being, there is no developed market for the Valores to be issued and that there is no guarantee of a future development of the market that could provide liquidity to the Valores.
(vi) The Parties acknowledge and agree that there is no guarantee of appreciation or increase in value of the Valores.
(vii) The Shuar Federation is aware and accepts that ONE AMAZON will not grant any guarantee of liquidity or purchase of the Valores during the term of this Agreement or after its termination.
(viii) The Shuar Federation is aware and accepts that ONE AMAZON will not grant any guarantee of maintenance of the Valores during the term of this Agreement or after its termination, and that its duration will depend on market conditions.
(ix) The Shuar Federation is aware and accepts that ONE AMAZON will not grant any guarantee of issuance of the Valores during the term of this Agreement and that this will depend on the approvals of the regulatory agencies abroad, particularly in the United States of America.
(x) The Shuar Federation is aware and accepts that if ONE AMAZON does not issue the Valores during the term of this Agreement, there will be no economic compensation or reimbursement of expenses to the Shuar Federation.
(xi) Pursuant to Clause SIX, paragraph 8 above, if the Project becomes a reality and the Valores are sold in the international market, the Parties agree to sign an agreement establishing specific methods for ONE Amazon to monitor and verify the use of the money received by the Federation from the sale of the Valores.
(xii) The Federation is aware and agrees that without ONE AMAZON it would not be able to issue the Valores subject to this Agreement.
(xiii) The Federation acknowledges and agrees that it fully agrees to the percentage to which it is entitled, and agrees not to demand additional economic values.
(xiv) The Federation acknowledges and agrees that in the event ONE AMAZON fails to issue the Valores, it shall not be entitled to any additional payment. In such case, ONE AMAZON shall not request any reimbursement for the payment of the economic contribution of US$100,000.00 (one hundred thousand United States of America dollars) detailed in the following clause.
EIGHTH: Economic Contribution.
As a sign of good will and seriousness in the commitment that ONE AMAZON acquires with the Shuar Federation under this Agreement, in a free and voluntary way, ONE AMAZON committed itself to the delivery of a total economic contribution of US$100,000.00 (one hundred thousand dollars of the United States of America) of which US$10,000.00 (ten thousand dollars of the United States of America) should be deducted that were already delivered to the Shuar Federation, as an advance payment, shall be discounted against the signature of the Memorandum of Understanding dated August 11, 2022.
Therefore, upon the signing of this Agreement, ONE AMAZON contributes and delivers to the Shuar Federation, represented by its President Anank Luis Senkuan Chuji, the sum of US$90,000. 00 (ninety thousand dollars of the United States of America) which shall be used in priority projects defined by the Federation, in the way that best suits the interests of these communities, with the only limitation that they may not be used for the personal benefit of Mr. Anank Luis Senkuan Chuji, or any other leader, nor be used for political or religious proselytizing activities of any nature.
This amount will be deposited in the following bank account of Banco del Austro, in the name of Cooperativa de Ahorros de la Pequeña Empresa de Pastaza Ltda. CACPE PASTAZA, where the Shuar Federation has its account, within three working days following the date on which the Federation notifies, in writing, to ONE Amazon the following information:

The value that the Shuar Federation will receive for the signing of this instument will be used for the development of all its communities, therefore it can be audited by the members of the Shuar Federation, as well as by ONE AMAZON at any time.
This contribution will be considered and imputed to the potential income that in the future will be obtained from the sale of the Values corresponding to the Territories of the Communities that are part of the Federation.
NINTH – Exclusion of Liability:
In no event shall the Federation be liable for the proposed issuance of the Securities and ONE AMAZON shall be the sole issuer and responsible party to the purchasers of the Valores. For the avoidance of doubt, ONE AMAZON will agree to indemnify the Shuar Federation for any damages incurred as a result of a claim against them in connection with ONE AMAZON’s offer and sale of the Valores.
TENTH – Non-Exclusivity:
The signing of this Agrreement does not grant an exclusive right to ONE AMAZON to observe or monitor the area to which this Agreement refers, nor in relation to the issuance of the Valores that this company intends to make for the financing of environmental preservation efforts The Shuar Federation may enter into other agreements or agreements of the same or similar nature on any part of the territory of its communities, with other persons or entities that have an object or interest similar or equal to that of ONE AMAZON.
Furthermore, the execution of this Agreement does not include a transfer of ownership, leasehold interest, right or other claim of title or possession, nor the right to own, sell or extract any natural resource, asset, nor does it constitute appropriation of any environmental service, discovery or any other potential asset located in the Territory or the rights derived therefrom, nor does it constitute assignment of any nature of the Federation’s rights over the Territory; all of the foregoing in view of the nature of the purpose of this Agreement which is new and unique in its kind.
The Parties ratify and recognize that all these rights shall continue to be 100% property, use and enjoyment of the Shuar Federation or the Ecuadorian State, as the case may be.
Eleventh – Applicable Legislation:
This Agreement shall be governed, for all its effects, by the Law of the Republic of Ecuador, to which the Parties are subjected for the full validity of this Agreement.
[Illegible] – Confidentiality:
The Parties agree not to disclose to third parties either verbally or in writing, and under any means, any information related to the Agreement until the launch of the digital asset (Valores), with the exception of that information that by virtue of the legal provisions in force must be delivered to the judicial or administrative authorities of Ecuador, or that which may be necessary for ONE AMAZON to promote to potential investors.
The Federation authorizes ONE AMAZON to disclose any information necessary for ONE AMAZON to promote the Project to potential investors and to obtain the necessary authorizations.
TWELFTH – Term.
This Agreement shall have a term of thirty (30) years, which may be extended by mutual agreement between the parties.
However, the Parties declare that this Agreement may be terminated before the agreed term, in case ONE AMAZON so decides if it is proven that the Shuar Federation has not complied with its obligations acquired under this Agreement, particularly that of not respecting the maintenance of the Amazonian forests owned by the communities that are part of the Federation, for which it shall notify the Shuar Federation at least 30 days prior to the date on which it decides to terminate it. All of the above, except in the case that this non-compliance is duly justified by the Federation to the satisfaction of ONE AMAZON.
THIRTEENTH: Assignment of Rights. –
This Agreement is of an interpersonal nature, so it may not be assigned by either Party without the prior written consent of the other.
FOURTEENTH: Destination of Funds Received.
In case the Project is successful, the income that the Federation receives for the 15% of its participation in the sold Values, ONE AMAZON expects that these will be used in projects that result in large term benefits for the inhabitants of the Shuar Federation and its territories, in the environment that surrounds them, in the maintenance of their cultural values and in the development or improvement of the businesses that are proper of the communities that are members of the Federation.
ONE Amazon recommends the Federation to invest its income in projects that are directly related to: (i) education, (ii) nature conservation, (iii) health, (iv) housing, (v) sustainable business development, (vi) conservation of flora, particularly forests and fauna, (vii) others of similar nature.
In any case, ONE AMAZON shall not be liable in the event that the Federation does not use the funds for the purposes indicated above.
FIFTEENTH: Tolerance of Breaches.
Any tolerance by one or any of the Parties to the non-compliance by the other Party of any of the obligations stipulated in the Agreement shall not be considered as annulment or cancellation, nor may it be alleged for the repetition of the tolerated event.
SIXTEENTH: Settlement of Disputes.
The Parties undertake to perform in good faith the reciprocal obligations they have under this Agreement and to make every effort to amicably resolve any dispute.
(a) Mediation. – Any dispute or difference that cannot be settled by mutual agreement relating to or arising out of this Agreement, including, but not limited to, its interpretation, execution and performance, shall be submitted to a mediation process conducted before the Court of Arbitration and Mediation of the Cuenca Chamber of Commerce pursuant to the Arbitration and Mediation Law and the Rules of said Court.
(b) Arbitration. – If no agreement is reached by the Parties within 30 days from the date of notice of mediation, the controversy or dispute shall be submitted to arbitration in accordance with the Arbitration and Mediation Law and to the binding and final determination of an Arbitral Tribunal administered by the Arbitration and Mediation Tribunal of the Cuenca Chamber of Commerce.
The arbitration shall take place at the Arbitration and Mediation Center of the Cuenca Chamber of Commerce in accordance with the Arbitration and Mediation Law and the Rules of said Tribunal, and the following: (i) The Tribunal shall be composed of a single arbitrator and the arbitrator shall be chosen by the Parties by mutual agreement from the list of arbitrators of the Arbitration and Mediation Tribunal of the Cuenca Chamber of Commerce. (ii) If there is no agreement between the Parties, the arbitrator shall be selected by lot by the Arbitration and Mediation Court of the Cuenca Chamber of Commerce. (iii) The Parties waive to the ordinary jurisdiction. (iv) The Shuar Federation declines to apply any constant disposition in the Shuar Federation Statutes or of any of the communities that integrate it, or any norm or community regulation that opposes to what has been agreed here. (v) The Parties are obliged to abide by the award issued by the Arbitration Tribunal and undertake not to file any type of action or recourse against it.
SEVENTEENTH: Registration.
The Shuar Federation authorizes ONE AMAZON to appear in its name and representation before any authority, public or private, national or foreign, in order to disclose and/or register (if applicable) this Agreement.
EIGHTEENTH: Acceptance.
The Parties accept in its entirety the content of this Agreement for clearly expressing the intention and will of each one of the Parties stating that they have nothing to claim in the future except for the breach of this Agreement.
For the record of everything agreed in this Agreement, the Parties sign it in unity in the city of Sucúa, Republic of Ecuador on the 2nd day of the month of September, 2022.
CONVENIO DE ASOCIACIÓN ENTRE ONE AMAZON, USA Inc. Y LA FEDEREACIÓN INTERPROVINCIAL DE CENTROS SHUAR (FICSH)
PRIMERA: Compareientes.
Comparecen a la celebración del presente CONVENIO DE ASOCACIÓN (en adelante, el “Convenio”), por una parte, Rodrigo Veloso, identificado con el pasaporte Norte Americano No. XXXX, e Ivano Westin, con el pasaporte brasileño No. XXXX, actuando en nombre y representación legal de One Amazon USA Inc., (en adelante “ONE AMAZON”) en sus calidades de Director Ejecutivo y Director Ejecutivo Financiero, respectivamente; y por otra, el señor Anank Luis Senkuan Chuji, en su calidad de Presidente de la Federación interprovincial de Comunidades Shuar (“FICSH”) y como tal representante legal de dicha Federación (en adelante, “la Federación Shuar”) con cédula de ciodadanía Ecuatoriana No XXXX. El Sr. SanKuan Chuji fue debidamente electo Presidente por la Federación mediante Asamblea General Extraordinaria de fecha 15, de junio del 2022, según consta de la certifición adjunta emitida por la Secretaria de Gestión y Desarrollo de Pueblos y Nacionalidades (“el Director”) conforme lo descrito en el Acta de la Asamblea extraordinaria realizo la elección de directiva de fecha 15, hasta que culmine la el periodo, mismo que fue legalmente Registrado la Directive, para el periodo comprendido entre 05 de enero de 2020 al 04 enero de 2023, emitido mediante el oficio Nro. SDH-CAJ-2020-0554-0, por la Secretaria de Derechos Humanos de Ecuador.
El Señor Senkuan Chuji comparece debidamente autorizado por la Asamblea de la Federación que tuvo lugar en la localidad de Sucúa, el 02, de septiembre del 2022, tal como aparece del documento adjunto, como Anexo 1.
Los comparecientes son Estadounidense el primero, Brasilero el segundo y Ecuatoriano el tercero, mayores de edad y legalmente capaces, a quienes dentro del presente Convenio podrán también identificarse como la “Parte” o las “Partes”.
SEGUNDA: Antecedentes. –
1.- ONE AMAZON es una empresa privada de nacionalidad esadounidense interesada en apoyar el desarrollo de las actividades y funciones de protección y conservación del medio ambiente. En desarrollo de lo anterior, ONE AMAZON quiere (i) apoyar a la Federación Shuar en sus labores de protección y preservación del medio ambiente a través del suministro de información e imágenes satelitales y otras tecnologías de parte de la región amazónica, así como (ii) ayudar a dicha preservación y protección mediante la inversión en Ecuador, a través de empresas o institutos nacionales o internacionales, de parte de los recursos que obtenga como resultado de la venta de valores de activos digitales que espera colocar en el mercado, los que ofrecerán a sus compradores la posibilidad de proteger y observar por vía satelital una, o unas hectáres determinadas de la selva amazónica, tal como se explica más adelante en este documento.
2. La Federación Shuar, es debidamente reconocida por el Ministerio de Previsión Social y de Trabajo, mediante la resolución del [Acuerdo Ministerial 2568, con fecha del 22 de octubre de 1964], actual Secretaria de Gestión y Desarrollo de Pueblos y Nacionalidades, y por lo tanto cuenta con la respectiva personalidad jurídica.
3.- Conforme a lo dispuesto por los artículos 57.4 y 57.9 de la Constitución ecuatoriana y artículo 5, incisos 3 y 4 del Estatuto de la Federación Shuar, esta es propietaria (por considerarse tierras ancestrales) de los Territorios que constan en el Anexo 2 de este Convenio y por tanto tiene plena disposición de su uso y goce y que el programa de conservación materia de este Convenio, no constituye una apropiación de un servicio ambiental, sino un mecanismo de colaboración para la conservaión y protección de sus bosques y territorios y para lograr el beneficio y bienestar de las comunidades (centros shuar) que forman parte de la Federación.
4.- El 02, de [septiembre], del 2022, en el auditorio de la Federación, los representatnes, presidentes de las Asociaciones, Síndicos y socios, en la Asamblea General Extraordinaria, luego de que el Consejo de Gobierno de la FICSH y ONE AMAZON, finalizó la socialización, los presentes autorizaron la suscripción de este Convenio, en los términos constantes en este documento, conforme aparece del documento que se acompaña como Anexo 3.
5.- Con estos antecendentes, ONE AMAZON y la Federación Shuar suscriben el presente Convenio de Asociación con la dinalidad de desarrollar actividades que tienen como objetivo mejorar y fomentar el cuidado, protección, conservación, defensa de la selva amazónica e inversión en empresas sustentables.
TERCERA: Objeto. –
El presente Convenio tiene como objeto aunar esfuerzos y desarrollar actividades relacionadas con la protección, defensa, conservación del medio ambiente de la selva amazónica en los territorios de las distintas Comunidades (centros shuar) que conforman la Federación Interprovincial de Contros Shuar FICSH, en el Ecuador (en adelante “los Territorios”), así como lograr inversón en empresas sustentables en ese territorio.
Adicionalmente, las Partes realizan voluntariamente las siguientes declaraciones:
1.- Que son civilmente capaces para obligarse en la forma en que lo haven a través de este instrumento y que no conocen causa alguna que pueda ocasionar la nulidad del presente Convenio, relacionadas con su capacidad, consentimiento, o con el objeto o con la causa de éste.
2.- El Sr. Anank Luis Senkuan Chuji declara que, en su calidad de Presidente, es el legítimo representante de la Federación Interprovincial de Centros Shuar FICSH, que conjuga 47 asociaciones y 410 centros Shuar que forman parte de la Federación Shuar y que, por lo tanto, garantiza su representación a nombre de dicha Federación.
3.- Las Partes declaran que este Convenio ha sido firmado de conformidad con la ley ecuatoriana, con libertad plena por cada una de ellas, y si cualquier cláusulla o disposición o declaración pueda ser considerada o se declarare nula, esta nulidad no afectará al resot de cláusulas contenidas en este Convenio.
CUARTA: Compromisos de ONE AMAZON:
Para el cumplimiento del objetivo del presente Convenio, ONE AMAZON:
i. Realizará sus mejores esfuerzos para implementar un sistema para recoger imágenes satelitales y otras tecnologías sobre la selva amazónica, que le permita tener informacón sobre el estado de preservación ambiental de la misma y suministrar a la Federación Shuar.
ii. Realizará sus mejores esfuerzos, para crear los mecanismos idóneos para reportar a las autoridades correspondientes y competentes acciones de terceros que pongan en peligro la selva amazónica, de la que tenga conocimiento en desarrollo de la ejecución de la anterios obligación.
iii. Compartirá con la Federación Shuar la infomación digital, satelital, documental, videográfica y auditiva que recopile en desarollo del objeto del presente Convenio.
iv. Para el cumplimiento de su obligación, ONE AMAZON podrá realizar una emisión internacional de valores de activos digitales comúnmente llamados “tokens” o “Digital Security Assets” por su nombre en Inglés (en adelante, “los Valores”) para financiar los esfuerzos de preservación de la selva amazónica. Esta emisión y la venta de los valores estará sujeta a su apròbación previa conforme a las leyes aplicables en los Estados Unidos y harán uso de blockchain (tecnología de contabilidad autónoma distribuida) con lo cual ONE AMAZON espera sean consideradas como un valor de activos digitales debidamente autorizados por la SEC (Security and Exchange Commission) de los Estados Unidos (en adelante “el Proyecto”).
v. Solamente una vez que el Proyecto sea debidamente aprobado por las autoridades de los Estados Unidos y salga al mercado, ONE Amazon podrá emitir los Valores para su comercialización en el mercado internacional.
vi. Del total de Valores emitidos y transados a través de la oferta del activo digital primario (y ofertas posterioires), relacionados a los terrenos de la Federación Shuar, la asignación será la sigulente: La Federación: 15%, ONE AMAZON 15%; el saldo, esto es, el 70% restantes, se utilizará en inversiones de preservación, conservación del bosque en los Territorios de la Federación Shuar o en otras actividades en sus Terriitorios que vayan en beneficio de la Federación Shuar, fondos que serán manejados por ONE Amazon impact Fund O.A.I.F. USA LLC., (“O.A.I.F.”) en proyectos primcipalmente deicados a programas de reforestación, monitoreo de territorios de la Federación y el apoyo a programas de desarrollo sostenible de la Amazonía, a travéss de empresas privadas nacionales o extranjeras, supervisadas por O.A.I.F.
Los valores correspondientes al 70% antes mencionado, serán recaudados por ONE Amazon y entregados a la cuenta bancaria de la O.A.I.F.
A su vez los valores al 15% correspondientes a la Federación Shuar antes mencionados, serán recaudados por ONE AMAZON y contribuidos a la cuenta bancaria de la Federación Interprovincial de Centros Shuar FICSH de la siguiente manera: a) El 50% de este 15% dentro de los treinta días hábiles siguientes a la venta de los Valores b) El restante 50% en cuotas anuales iguales durante los siguientes 30 años de vigencia de este Convenio. La obligación de inversión en preservación y protección ambiental a través instituciones privadas (incluyendo observación satelital) ocurrirá únicamente después de que se hayan obtenida todas las autorizaciones por parte de las autoridades Estadounidenses para la emisión y la venta de los Valores y de las autoridades Ecuatorianas (de ser el caso) para realizar los controles y monitoreos satelitales.
Para la realización de las actividades de conservación del boque amazónico ONE AMAZON podrá apoyarse o usar empresas o instituciones privadas nacionales o internacionales, que conozcan o puedan desarrollar actividades de preservación y protección ambiental en la zona de la selva amazónica.
viii. Informará anualmente a la Federación Shuar, sobre el estado de cuentas de emisión de valores de activos digitales y sobre los ingresos correspondientes.
Las inversiones para la protección del ambiente, a través de empresas o instituciones privadas dedicadas a actividades sustentables del medio ambiente, utilizando los recursos obtenidos de la venta de los Valores emitidos correspondientes a los Territorios, se hará a través de empresas o instituciones ecuatorianas o internacionales con incidencia en el territorio ecuatoriano, especificamente en los Territorios.
Las decisiones de inversiones para la protección del ambiente se harán a través de la aprobación final de ONE AMAZON, respetando siempre las legislaciones Ecuatoriana y Estadounidense.
QUINTA: No afectación a los derechos de propiedad sobre los Territorios:
ONE AMAZON declara expresamente que la implementación y venta do los Valores de manera alguna afecta la propiedad o cualquiera de los derechos sobre sus Territorios reconocidos por la Constitución y la ley a las comunidades y a los habitantes que forman parte de la Federación Shuar sobre sus Territorios, quienes mantienen intactos todos y cada uno de estos derechos.
Se aclara y raifica que los Valores se emitirán con el exclusivo objeto de que sean comercializados a terceras personas interesadas en la conservación de la selva amazónica para que, con sus aportes económicos los propietarios de estas tierras o se beneficien directamente con los ingresos provenientes de dichas en proyectos de inversión y mantenimiento del bosque amazónico.
Adicionalmente, ONE AMAZON acepta y declara expresamente que los terrenos de la Federación Shuar que lleguen a ser parte del Convenio, podrán ser comprometidos con terceros para cualquier otro propósito de conservación, sin limitación alguna, en tanto en cuanto cumplan con lo dispuesto en la legislación ecuatoriana e internacional, ya que este Convenio no representa cesión de derecho alguno de la Federación sobre el Territorio.
SEXTA- Compromisos de la Federación Shuar:
Para el cumplimiento del objetico del presente Convenio de Asociación, la Federación Shuar realizará las siguientes actividades:
i. Apoyar y facilitar el desarrollo de las actividades de conservación, preservación, que realicen las ONG’s o empresas privadas, e inversión en empresas privadas sustentables, con los recursos que pueden ser inveridos por ONE AMAZON u O.A.I.F.
ii. Estudiar la posibilidad y viabilidad, y luego, permitir la instalación de sensores, radares u otros equipos en terreno para el desarrollo del monitoreo que ONE AMAZON realizará después de la venta de los Valores.
iii. Coordinar los mecanismos institucionales para recibir los reportes y la información que suministre ONE AMAZON en desarrollo de la venta de los Valores.
iv. Destinar para el proyecto las 831,130.71 ochocientas treinta y un mil ciento treinta, 71) hectáreas de los territorios pertenecientse a las distintas comunidades que integran la Federación Shuar. Estos Territorios incluyen la totalidad de áreas ocupadas por la Federación Shuar y otras comunidades Shuar, con excepción de aquellos Territorios donde se encuentren otorgados permisos o autorizaciones gubernamentales para la realización de actividades extractivas de exploración y explotación de hidrocarburos, de exploración y explotación de minerales en general y actividades propias de la industria forestal extractiva.
Adcionalmente, tampoco se incluyen dentro de los Territorios bajo este Convenio, todos las zonas pobladas o cualquier zona urbana ubicada dentro de los Territorios
v. Mantendrá el estado actual de conservación del bosque amazónico dentro de los Territorios que pertenecen a las comunidades que forman parte de la Federación, al menos por el plazo de duración de este Convenio que es de 30 años contados a partir de su firma.
vi. No utilizará los recursos obrenios materia de este Convenio para destinarlos a cualquier actividad de índole político o religioso, debiendo ser usada exclusivamente con fines de mantenimiento del bosque amazónico u obras o servicios en favor de las Comunidades que integran la Federación Shuar.
vii. Con el fin reflejar total transparencia, responsabilidad y distribución eficiente del porcentaje al que la Federación tiene derecho (junto con el pago que se have a la firma de este Convenio, el Presidente, a nombre y en representación de la Federación, se compromete y obliga a facilitar el constante monitoreo por parte de ONE Amazon en la revisión del uso de los recursos recibidos por la Federación y los progresos alcanzados en las comunidades. Este proceso será implementado de manera que beneficie y fomente practicas relevantes en la utilización de los fondo recibidos.
SÉPTIMA- Compromisos Comunes:
Para la ejecución del presente Convenio de Asociación, las Partes acuerdan que:
(i) Compartirán información que facilite el monitoreo y la gestión de la protección ambiental que se pretende lograr con las actividades que va a ejecutar ONE AMAZON con la emisión de los Valores.
(ii) Se apoyarán mutuamente en las actividades que sean requeridas para el desarrollo del objeto del presente Convenio.
(iii) Asimismo, las Partes declaran cumplir con el Código Integral Penal de Ecuador y en virtud de ello, la contraprestación que la Federación Shuar recibirá como resultado de este Convenio, no será ofrecida, entregada o recibida, de manera directa o indirecta, en beneficio personal del señor Anank Luis Senkuan Chuji o de cualquier miembro de la Federación Shuar, para incurrir en cualquier acción en violación o incumplimiento de la legislación ecuatoriana en materia de anticorrupción, que pudiese ser aplicable.
(iv) Las Partes entienden y aceptan que no hay fecha ni plazo establecido para la emisión de los Valores, ni garantía de su emisión, dado que se trata ante un producto innovador en el mercado internacional, del que las Partes son conscientes y aceptan expresamente
Las Partes son conscientes y aceptan que, por el momento, no existe un mercado desarrollado para los Valores que se emitirán y que no hay garantía de un desarrollo futuro del mercado que pueda aportar liquidez a los Valores.
(vi) Las Partes son conscientes y aceptan que no existe garantía de apreciación o incremento de valor de los Valores.
(vii) La Federación Shuar es conciente y acepta que ONE AMAZON no otorgará garantía alguna de liquidez o compra de los Valores durante la vigencia de este Convenio o después de su terminación.
(viii) La Federación Shuar es consciente y acepta que ONE AMAZON no otorgará garantiá alguna de mantenimiento de los Valores durante la vigencia del presente Convenio o posterior a su terminación, y que su duración dependerá de las condiciones del mercado.
(ix) La Federación Shuar es consciente y acepta que ONE AMAZON no otorgará garantia de emisión alguna de los Valores durante la vigencia del presente Acuerdo y que esta dependerá de las aprobaciones de los organismos reguladores en el exterior, en particular en los Estados Unidos de América.
(x) La Federación Shuar es consciente y acepta que si ONE AMAZON no emite los Valores durante la vigencia del presente Acuerdo, no habrá compensación económica alguna ni reembolso de gastos a la Federación Shuar.
(xi) Conforme lo señalado en la Cláusula SEXTA, numeral 8 anterior, si es que el Proyecto lllegare a sser una realidad y los Valores sean vendidos en ell mercado internacional, las Partes se comprometen a firmar un acuerdo por el que se establezcan métodos especificos para que ONE Amazon pueda monitorear y verificar que el uso del dinero que la Federación reciba por la venta de los Valores
(xii) La Federación es consciente y acepta que sin ONE AMAZON no podria emitir los Valores objeto de este Contrato.
(xiii) La Federación e consciente y acepta que está totalmente de acuerdo con el porcentaje al que tiene derecho, y se compromete a no exigir valores económicos adicionales.
(xiv) La Federación es consciente y acepta que en el caso de que ONE AMAZON no logre la emisión de los Valores, no tendrá derecho a ningún pago adicional. En ese caso, ONE AMAZON no solicitará ningún reembolso por el pago de la contribución económica de US$100,000.00 (cien mil dólares de los Estados Unidas de América) que se detalla en la cláusula siguiente.
OCTAVA: Contribución Económica.
En señal de buena voluntad y seriedad en el compromiso que adquiere ONE AMAZON con la Federación Shuar bajo este Convenio, en forma libre y voluntaria, ONE AMAZON se comprometió a la entrega de una contribución económica total de US$100,000.00 (cien mil dólares de los Estados Unidas de América) de los cuales deberá descontarse la suma de US$10,000.00 (diez mil dólares de los Estados Unidos de América) que fueron ya entregados a la Federación Shuar, en claidad de anticipo, contra la firma del Memorandum de Entendimiento de fecha 11 de Agosto del 2022.
Por lo anterior, a la firma del presente Convenio, ONE AMAZON contribuye y entrega a la Federación Shuar, representada por su Presidente Anank Luis Senkuan Chuji, la suma de US$90,000.00 (noventa mil dólares de los Estados Unidas de América) los que deberán ser utilizados en proyectos prioritarios definidos por la Federación, en la forma que más convenga a los intereses de estas comunidades, con la única limitación de que no podrán ser destinadas a beneficio personal del Sr Anank Luis Senkuan Chuji, o ningún otro dirigente, así como tampoco dedicarlas a actividades de proselitismo político o religioso de naturaleza alguna.
Este valor será depositado en la siguiente cuenta bancaria del Banco del Austro, A Nombre De La Cooperativa de Ahorros de la Pequeña Empresa de pastaza Ltda. CACPE PASTAZA, en donde la Federación Shuar tiene su cuenta, dentro de los tres días hábiles siguientes a la fecha en que la Federación notifique, por escrito, a ONE Amazon la siguiente información:

El valor que recibirá la Federación Shuar por la firma del presente instumento será utilizado para el desarrollo de todas sus comunidades por lo que podrá ser auditada por los socios miembros de la Federación Shuar, así como también por ONE AMAZON en cualquier momento.
Esta contribución será considerada e imputada a los ingresos potenciales que a futuro se obtengan de la venta de los Valores correspondientes a los Territorios de las Comunidades que forman parte de la Federación.
NOVENA – Exclusión de Responsabilidad:
En ningún caso, la Federación será responable de la emissión propuesta de los Valores y ONE AMAZON será el único emisor y parte responsable frente a los compradores de los Valores. Para evitar dudas, ONE AMAZON aceptará indemnizar a la Fedrazción Shuar por cualquier daño incurrido como resultado de un reclamo contra ellos en relación con la oferta y venta de los Valores por parte de ONE AMAZON.
DECIMA – No Exclusividad:
La firma del presente Convenio no le otorga un derecho exclusivo a ONE AMAZON de observar o vigilar el área a la que se refiere este Convenio, ni en relación con la emisión de los Valores que esta empresa pretenda realizar para la financiación de los esfuerzos de preservación ambiental La Federación Shuar podrá celebrar otros convenios o acuerdos iguales o de similar naturaleza sobre cualquier parte del territorio de sus comunidades, con otras personas o entidades que tengan un objeto o un interés similar o igual al de ONE AMAZON.
Además, la firma de este Convenio no incluye una transferencia de propiedad, interés de arrendamiento, derecho u otro reclamo de titulo o posesión, ni el derecho a poseer, vender o extraer cualquier recurso natural, activo, ni constituye apropiación de ningún servicio ambiental, descubrimiento o cualquier otro activo potencial ubicado en el Territorio o los derechos derivados de este, ni constituye cesión de cualquier naturaleza de los derechos de la Federación sobre el Territorio; todo lo anterior en vista de la naturaleza del propósito de este Convenio que es nuevo y único en su clase.
Las Partes ratifican y reconocen que todos estos derechos seguirán siendo 100% de propiedad, uso y goce de la Federación Shuar o del Estado Ecuatoriano, según corresponda.
DECIMO PRIMERA – Legislación Aplicable:
El presente Convenio se regirá, para todo sus efectos, por la Ley de la República del Ecuador, a la que las Partes son susten para la plena vaidez del presente Convenio.
. . . MA – Confidencialidad:
Las Partes se obligan a no divulgar a terceros ya sea de manera verbal o escrita, y bajo ningún medio, información alguna relacionada con el Convenio hasta el lanzamiento del activo digital (Valores), con excepción de aquella información que en virtud de las disposiciones legales vigentes deba ser entregada a las autoridades judiciales o administrativas del Ecuador, o aquella que pueda ser necesaria para que ONE AMAZON deba promocionar a posible inversionistas.
La Federación Autoriza a ONE AMAZON a revelar cualquier información necesaria para que ONE AMAZON pueda promocionar el Proyecto a posibles inversionistas y conseguir las autorizaciones necesarias.
DECIMO SEGUNDA – Vigencia.
El presente Convenio tendrá un plazo de vigencia de treinta (30) años, prorrogables por común acuerdo entre las partes.
Sin embargo, las Partes declaran que este Convenio podrá terminar antes del plazo convenido, en caso de que así lo decida ONE AMAZON de comprobarse que la Federación Shuar ha incumplido con sus obligaciones adquiridas bajo este Convenio, particularmente la de no respetar el mantenimiento de los bosques amazónicos propiedad de las comunidades que forman parte de la Federaciónn, para lo cual notificará a la Federación Shuar con al menos 30 días de anticipación a la fecha en que decida darla por terminada. Todoo lo anterior, salvo el caso de que este incumplimiento sea debidamente justificado por la Federación a satisfacción de ONE AMAZON.
DECIMO TERCERA: Cesión de Derechos. –
Este Convenio es de naturaleza interpersonal, por lo que no podrá ser cedido por ninguna de las Partes sin previa autorización escrita de la otra.
DECIMO CUARTA: Destino de Fondos recibidos.
En caso de que el Proyecto resulte exitoso, los ingresos que la Federación reciba por el 15% de su participación en los Valores vendidos, ONE AMAZON espera que estos sean utilizados en proyectos que resulten en beneficios de large plazo para los habitantes de la Federación Shuar y sus territorios, en el medio ambiente que los rodea, en el mantenimiento de sus valores culturales y en el desarrollo o mejoramiento de los engocios que sean propios de las comunidades integrantes de la Federación.
ONE Amazon recmienda a la Federación invertir sus ingresos en proyectos que estén directamente relacionados con: (i) educación, (ii) conservación de la naturaleza, (iii) salud, (iv) vivienda, (v) desarrollo sostenible de negocios, (vi) conservación de la flora, en particular de los bosques y de la fauna, (vii) otros de similar naturaleza.
En todo caso, ONE AMAZON no será responsable en caso de que la Federación no use los fondos para los propósitos antes indicados.
DECIMO QUINTA: Tolerancia de Incumplimientos.
Cualquier tolerancia, de una o cualquiera de las Partes al incumplimiento en que incurriere la otra Parte de alguna de las obligaciones estipuladas a su cargo en el Convenio no podrá ser considerada como novación o condonación ni podrá ser alegada por la repetición del hecho tolerado.
DECIMO SEXTA: Solución de Controversias.
Las Partes se comprometen a ejecutar de buena fe las obligaciones reciprocas que contaen en virtud de este Convenio y a realizar todos los esfuerzos para superar amigablemente cualquier controversia.
(a) Mediación. – Toda controversia o diferencia que no pueda solucionarse de mutuo Convenio que se relacione o que se derive de este Convenio incluyendo, per sin liitarse a, su interpretación, ejecución y cumplimiento, será sometida a un proceso de madiación llevado ante el Tribunal de Arbitraje y Mediación de la Cámara de Comercio de Cuenca conforme a la Ley de Arbitraje y Mediación y al Reglamento de dicho Tribunal.
(b) Arbitraje. – Si las Partes no llegaron a ningún acuerdo en un plazo de 30 días contados desde la fecha de notificación de la mediación, la controversia o diferencia será sometida a un proceso aritral de conformidad con la Ley de Artbitraje y Mediación y a la resolución obligatoria y definitiva de un Tribunal Arbitral administrado por el Tribunal de Arbitraje y Medaición de la Cámara de Comercio de Cuenca.
El arbitraje tendrá lugar en la sede del Centro de Arbitraje y Mediación de la Cámara de Comercio de Cuenca conforme a la Ley de Arbitraje y Mediación y al Reglamento de dicho Tribunal, y a lo siguiente: (i) El Tribunal estará conformado por un solo árbitro y el árbitro será elegido por las Partes de mutuo Convenio de la lista de árbitros del Tribunal de Arbitraje y Mediación de la Cámara de Comercio de Cuenca. (ii) De no existir Convenio entre las Partes el árbitro será seleccionado por sorteo realizado por el Tribunal de Arbitraje y Mediación de la Cámara de Comercio de Cuenca. (iii) Las Partes renuncian a la jurisdicción ordinaria. (iv) La Federación Shuar enuncia a aplicar cualquier disposición constante en los Estatutos Federación Shuar o de cualqulera de las comunidades que la integran, o cualquier norma o regulación comunitaria que se oponga a lo aquí acordado. (v) Las Partes se obligan a acatar el laudo que expida el Tribunal Arbitral y se somprometen a no interponer ningún tipo de acción o recurso en contra su contra.
DECIMO SEPTIMA: Registro.
La Federación Shuar autoriza a la ONE AMAZON para que a su nombre y representación comparezca ante cualquier autoridad, pública o privada, nacional o extranjera, a fin de divulgar y/o inscribir (de ser el caso) el presente Convenio.
DECIMO OCTAVA: Aceptación.
Las Partes aceptan en su totalidad el contenido del presente Convenio por expresar claramente la intención y voluntad de cada una de las Partes manifestando que no tienen nada que reclamar en el futuro salvo por el incumplimiento de este Convenio.
Para constancia de todo lo acordado en el presente Convenio, las Partes lo firman en unidad de acto en la cuidad de Sucúa, República del Ecuador a los 02, días del mes de septiembre, del 2022.
